These Terms govern your use of SQL Database Bridge (the "Service"), operated by The PopUpFactory LLC ("we", "us"). By creating an account or continuing to use the Service you agree to these Terms and enter into an agreement with The PopUpFactory LLC.

1. The Service

SQL Database Bridge provides a web application and a desktop bridge application that let MCP-compatible AI clients connect to your databases. Local connections execute entirely on your own machine; hosted connections execute on our infrastructure using credentials you supply.

2. Eligibility and accounts

You must be of legal age to contract, and if you accept these Terms for an organisation you confirm you have authority to bind it. You must provide accurate information, keep it up to date, keep your credentials and API tokens confidential, and you are responsible for all activity under your account.

3. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You must not reverse engineer the Service, resell or redistribute it, or circumvent technical or plan limits.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service unlawfully or in breach of applicable regulations;
  • engage in fraud, spam or deceptive activity;
  • infringe the intellectual property or privacy rights of others;
  • interfere with the security or integrity of the Service, including malware, probing, penetration attempts, denial-of-service or unauthorised scraping;
  • connect to databases you are not authorised to access.

5. Your content and data

You retain ownership of your data. You grant us a limited licence to host and process connection metadata and, for hosted connections, to transmit queries and results solely to provide the Service.

6. Intellectual property

We retain all ownership of the Service and its intellectual property, including software, documentation and branding. No rights are granted other than those expressly stated here.

7. Service level

The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free performance, and we may modify or discontinue features. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payments and subscriptions

Paid plans are billed monthly in advance and renew automatically until cancelled. Payment, billing, tax, currency, cancellation and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.

9. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel at any time; access continues until the end of the paid period. On termination you may export your connection metadata for 30 days, after which it may be deleted.

11. Liability

To the extent permitted by law, we are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill, and our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing here excludes liability for fraud, death or personal injury where such exclusion is not permitted.

12. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

13. General

You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These Terms are governed by the laws of the State of Delaware, USA, and the courts of that jurisdiction have exclusive jurisdiction over disputes, unless mandatory local law provides otherwise. We may update these Terms and will announce material changes in the app or by email.
